Provider: Assembled Systems

Client: The individual or entity entering into this Agreement

These Terms of Service ("Agreement") govern the AI-Powered Development subscription provided by Assembled Systems ("Provider"). By signing, paying, or otherwise engaging the service, the Client agrees to the following terms.

1. Service Model

Assembled Systems provides a managed, AI-Powered Development subscription (the "Build" membership) for businesses that need to build, rescue, or continuously improve software without hiring an internal development department.

Each membership pairs one accountable Solution Architect with AI-assisted development, QA + release support, and CTO oversight, working a repeatable delivery rhythm — Understand, Prioritize, Build, QA + Release, Review + Repeat — on the Client's active priority.

The goal is steady, ongoing progress on one important software priority at a time, not a one-time handoff.

This model is built on:

  • One accountable Solution Architect and delivery system
  • AI-assisted execution with human accountability for the outcome
  • Continuous, iterative delivery on one active priority
  • Flexible prioritization with no fixed scope
  • No penalties for changing requirements

You are not purchasing deadlines or prompts — you are purchasing a managed delivery system and ongoing development momentum.

2. Scope of Services

2.1 Included Services

The Build membership provides a managed delivery system that may include:

  • Initial software and technical assessment
  • A dedicated Solution Architect / Client Success Lead
  • Prioritized roadmap with one active development priority
  • AI-assisted development for features, integrations, fixes, and improvements
  • CTO architecture oversight
  • QA and release support
  • Slack communication and a weekly written status report
  • A weekly product review plus as-needed working sessions

2.2 No Deadline Commitments

Provider does not commit to:

  • Specific delivery dates
  • Milestone deadlines
  • Launch timelines
  • Fixed-scope deliverables

All work is performed on a continuous-delivery basis, aligned with the month-to-month membership model.

2.3 Ongoing Deliverables

On a continuous, weekly rhythm, Client will receive tangible work output such as:

  • Completed features and improvements
  • Pull requests and accepted code changes
  • Deployment and release updates
  • A weekly written status report and product review
  • Visibility into what shipped, what is active, what is blocked, and what is next

Work delivered is proportional to the capacity of the Build membership and focused on the Client's one active development priority.

3. Prioritization & Flexibility

3.1 Client Priority Control

Client may adjust feature priorities, backlog items, and direction at any time.

3.2 No Penalty for Scope Changes

Provider does not charge for:

  • New requirements
  • Feature swaps
  • Reprioritization
  • Adjusted direction
  • Updated scope

Work is always executed based on the highest priority items identified by the Client.

4. Payment Terms

4.1 Subscription Billing

This service is billed as a recurring monthly subscription.

4.2 Initial Payment & Start Date

  • The first month's payment is due upon signing.
  • The date payment is received becomes the Service Start Date.
  • The Start Date also becomes the recurring monthly billing date.

4.3 Monthly Fees

The Build membership is billed at $2,000 per month, month-to-month, as outlined in the Client's proposal or invoice. Larger applications, multiple concurrent workstreams, or accelerated timelines may require expanded capacity at an adjusted fee agreed in writing.

4.4 Automatic Renewal

The subscription automatically renews each month unless terminated under Section 5.

4.5 Non-Payment

If payment is not received within 5 business days of the billing date:

  • Provider may pause all development work
  • Paused time does not create refunds, credits, or extensions

Service resumes once payment is resolved.

5. Term & Termination

5.1 Term

This Agreement is month-to-month.

5.2 Client Termination

Client may terminate by providing 30 days' written notice via email.

Billing and service continue throughout the 30-day notice period.

5.3 Provider Termination

Provider may terminate this Agreement for any reason with 30 days' written notice.

5.4 No Refunds

All payments are non-refundable, including partial months or unused time.

6. Intellectual Property

6.1 Client Ownership

Client owns all intellectual property created during the engagement, including:

  • Source code
  • Repositories
  • Designs
  • Documentation
  • Infrastructure and deployments

6.2 Access

Client will maintain ownership and administrative access to all systems, including:

  • GitHub or source control
  • Cloud environments (AWS, GCP, etc.)
  • Databases
  • Project management tools

Provider does not retain ownership over Client assets.

7. Communication & Reporting

Provider will provide:

  • Slack as the primary day-to-day communication channel
  • A standing weekly product review to demo progress and confirm priorities
  • A weekly written status report covering what shipped, what is active, blockers, and next steps
  • Roadmap updates and as-needed working sessions

The default rhythm is Slack throughout the week plus one weekly product review and one weekly status report. Communication cadence may be adjusted based on mutual agreement.

8. Limitations & Disclaimers

8.1 No Guaranteed Outcomes

Provider does not guarantee:

  • Delivery by specific dates
  • Project completion timelines
  • Business outcomes
  • Performance metrics
  • Success of third-party integrations

8.2 Client Dependencies

Delays caused by Client inaction, missing information, third-party vendors, or environment issues may slow progress. Provider is not responsible for such delays.

8.3 Capacity

Monthly output is limited to the delivery capacity of the Build membership and is focused on one active development priority at a time.

9. Confidentiality

Both parties agree to maintain confidentiality regarding:

  • Business information
  • Technical assets
  • Product concepts
  • Code
  • Credentials
  • Communication

This obligation remains in effect even after termination.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Provider's liability is limited to the fees paid by the Client in the preceding 30 days.
  • Provider is not liable for indirect, consequential, punitive, or special damages.

11. Governing Law

This Agreement is governed by the laws of the state in which Assembled Systems is headquartered, unless otherwise stated in a signed contract.

12. Acceptance

By signing a proposal or agreement, submitting payment, or otherwise engaging the service, the Client confirms acceptance of these Terms of Service.

SMS/Text Message Terms

The following terms apply to users who opt-in to receive SMS/text messages from Assembled Systems.

13. SMS/Text Message Program Terms

13.1 Program Description

Assembled Systems offers an SMS/text message program to facilitate communication with leads and customers. By opting in to our SMS program, you may receive the following types of messages:

  • Appointment confirmation messages
  • Messages to schedule or book an appointment
  • Follow-up messages for missed appointments or no-shows
  • Appointment reminders

13.2 Opt-Out Instructions

You may opt out of receiving SMS/text messages at any time by texting STOP to any message you receive from us. After opting out, you will receive a one-time confirmation message, and no further SMS messages will be sent unless you opt in again.

If you need help or have questions about our SMS program, you can:

Message and data rates may apply. Check with your carrier for details. Assembled Systems is not responsible for any charges from your mobile carrier related to SMS messaging.

13.5 Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages. Assembled Systems makes no guarantees regarding message delivery timing or success, as delivery is dependent on your mobile carrier and network conditions.

13.6 Age Restriction

You must be 18 years of age or older to use this SMS service. By opting in to receive SMS messages, you confirm that you are at least 18 years old.

13.7 Privacy

Your mobile phone number and SMS communications are handled in accordance with our Privacy Policy. For complete details on how we collect, use, and protect your information, please review our Privacy Policy.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support of services, such as customer service, is permitted.
